The Granida portal operator, the company DISY spol. s r.o., with the registered office at Dolná 142, Modra 900 01, Slovak republic, Reg. no. (IČO) 31 575 391, registered in the Commercial Register of the City Court Bratislava III, section: Sro, entry no. 156025/B (hereinafter referred to as "Granida" in the appropriate grammatical form) creates technology and services that enable business entities to sell and/or buy agricultural commodities under optimal market conditions and provides sellers and buyers with related services and/or mediates such services, with the aim, in particular, of reducing transaction costs on the part of buyers and sellers.
Granida provides sellers with a space on the portal in which they can advertise offers of agricultural commodities and ensure their sale, either in the form of a public tender (hereinafter referred to as "Auction" in the appropriate grammatical form), or by a combination of an Auction and a direct sale.
On the portal, Granida provides buyers with the opportunity to participate in Auctions (with the possibility of direct purchase, if the seller allows such an option).
Granida is entitled to compensation against buyers and sellers only in the case of concluding a purchase agreement through the portal or in the case of using other chargeable services.
1.1. Granida enables the use of its services to natural persons - entrepreneurs and/or legal entities that are active in the field of production and/or sale and/or processing of agricultural commodities (hereinafter referred to as "Registration Applicant" in the appropriate grammatical form) and meet the following conditions:
1.1.1. no bankruptcy, restructuring and/or other similar proceedings are being conducted against the Registration Applicant;
1.1.2. the Registration Applicant is not registered in the Register of authorizations to execute enforcement and/or other similar register;
1.1.3.no criminal proceedings are pending against the Registration Applicant due to the suspicion of committing a criminal offense of a property and/or economic nature;
1.1.4.the Registration Applicant has not been convicted of a criminal offense of a property and/or economic nature in the previous 10 years, and such conviction is not rehabilitated;
1.1.5. Granida has not cancelled the registration of the Registration Applicant during the previous 5 years;
1.1.6. The Registration Applicant will provide Granida with all the legitimately required information and/or documents necessary for the proper registration of the portal user.
1.2. The Registration Applicant can fill out the registration form on the portal, while being obliged to provide the data required in the registration form and copies of the following documents:
1.2.1. a document proving the existence of the person interested in registration, such as a copy of the identity card or a copy of an extract from the commercial and/or other public register;
1.2.2. a copy of the business license of the Registration Applicant;
1.2.3. an affidavit that the Registration Applicant is acting on his/her own behalf;
1.2.4. an affidavit of who is the ultimate beneficial owner of the Registration Applicant (applicable in the case of legal entities);
1.2.5. an affidavit as to whether the ultimate beneficial owner is a politically exposed person;
1.2.6. an affidavit that the Registration Applicant meets the conditions according to Article 1.1 of these terms of registration.
1.3. Granida is entitled to request the addition of additional information and/or documents necessary to verify the identity of the Registration Applicant for registration and to check whether the Registration Applicant meets the conditions according to Article 1.1 of these terms of registration. For such identification, Granida is entitled to request a video interview with the Registration Applicant.
1.4. Granida shall decide on the Registration Applicant's application no later than 60 calendar days from the date of delivery of the application form and all the documents according to 1.2 of these terms of registration. If Granida deems it necessary to check the Registration Applicant in more detail according to 1.3 of these terms and conditions, the deadline for making a decision on the Registration Applicant's application shall be extended by another 30 calendar days.
1.5. By registering on the portal www.granida.eu, the user agrees:
1.5.1. with these terms of registration;
1.5.2. with the general terms and conditions of the portal www.granida.eu, either in the wording for the seller or for the buyer, depending on which side of the trade the participant chooses during registration. The current wording of such T&C will be provided to the participant upon registration and will subsequently be informed of any changes. The participant has the right to register both for the buyer's side and for the seller's side, but for the relevant account (email address) he/she can only choose one side of the business.
2.1. The Registration Applicant can cancel the registration on the portal at any time with the exception of the following cases:
2.1.1. The Registration Applicant has created an Auction on the portal and/or participated in the Auction, while the Auction has not ended yet;
2.1.2. The Registration Applicant has concluded a purchase agreement as a seller or a buyer through the portal, and all liabilities and/or obligations from the given purchase agreement have not yet been settled towards the other contracting party, towards Granida or the bank providing factoring services.
3.1. Granida is entitled to charge a contractual penalty in the amount of EUR 500,- to the Registration Applicant, if the Registration Applicant submits to Granida any document according to 1.2 of these terms containing any false information.
4.1. Contractual relations with the Registration Applicant are governed by the legal regulations of the Slovak Republic.
4.2. Granida and the Registration Applicant shall make every effort to settle any disputes related to registration on the portal amicably. If the dispute is not resolved amicably, such a dispute, including issues of validity, interpretation, implementation or termination of rights, shall be resolved by a substantive and territorially competent general Slovak court.
5.1. These terms are published on the www.granida.eu website. Granida is entitled to change these terms unilaterally, while it is obliged to publish a new version of the terms at least 30 days before the day when the new version of the terms takes effect, by publishing it on the portal. Granida is entitled to change these T&C in situations where the period of 30 days would be unreasonably long for a change to the T&C to take effect, while such a change is effective by declaring it and delivering it to the Participant (for these cases, delivery by e-mail is also sufficient). For the avoidance of doubt, the situation according to the first sentence always applies from 19.07.2023 to 19.07.2024.
